PLEASE READ THIS TERMS OF USE AGREEMENT (THE “TERMS OF USE”) CAREFULLY. BY ACCESSING OR USING THE WOODSCAMP PROPERTIES OPERATED UNDER THE DOMAIN WWW.WOODSCAMP.COM (COLLECTIVELY, THE “WEBSITE”), IN ANY WAY, INCLUDING USING THE RESOURCES, DATA, AND/OR SERVICES AVAILABLE OR ENABLED VIA THE WEBSITE (EACH A “SERVICE” AND, COLLECTIVELY, THE “SERVICES”), COMPLETING THE REGISTRATION PROCESS, AND/OR BROWSING THE WEBSITE, YOU REPRESENT THAT (1) YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THE TERMS OF USE, (2) YOU ARE OF LEGAL AGE TO FORM A BINDING CONTRACT WITH WOODSCAMP, AND (3) YOU HAVE THE AUTHORITY TO ENTER INTO THE TERMS OF USE PERSONALLY OR ON BEHALF OF THE COMPANY YOU HAVE NAMED AS THE USER, AND TO BIND THAT COMPANY TO THE TERMS OF USE. THE TERM “YOU” REFERS TO THE INDIVIDUAL OR LEGAL ENTITY, AS APPLICABLE, IDENTIFIED AS THE USER WHEN YOU REGISTERED ON THE WEBSITE. IF YOU DO NOT AGREE TO BE BOUND BY THE TERMS OF USE, YOU MAY NOT ACCESS OR USE THIS WEBSITE OR THE SERVICES.

THE TERMS OF USE INCLUDE A CLASS ACTION WAIVER AND A WAIVER OF JURY TRIALS, AND REQUIRE BINDING ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES.

THE TERMS OF USE LIMIT THE REMEDIES THAT MAY BE AVAILABLE TO YOU IN THE EVENT OF A DISPUTE.

PLEASE NOTE THAT THE TERMS ARE SUBJECT TO CHANGE BY WOODSCAMP IN ITS SOLE DISCRETION AT ANY TIME. When changes are made, a new copy of the Terms of Use will be made available from within, or through, the affected Service on the Website. We will also update the “Last Updated” date at the top of the Terms of Use. If we make any material changes, and you have registered with us to create an Account (as defined below) we will also send an e-mail to you at the last e-mail address you provided to us pursuant to the Terms of Use. Any changes to the Terms of Use will be effective immediately for new users of the Website and/or Services and will be effective thirty (30) days after posting notice of such changes on the Website for existing users, provided that any material changes shall be effective for users who have an Account with us upon the earlier of thirty (30) days after posting notice of such changes on the Website or thirty (30) days after dispatch of an e-mail notice of such changes to Registered Users (as defined below). WoodsCamp may require you to provide consent to the updated Terms of Use in a specified manner before further use of the Website or the Services is permitted. If you do not agree to any change(s) after receiving a notice of such change(s), you shall stop using the Website and the Services. Otherwise, your continued use of the Website and the Services constitutes your acceptance of such change(s). PLEASE REGULARLY CHECK THE WEBSITE TO VIEW THE THEN-CURRENT TERMS OF USE.

Lending professionals and lending institutions are prohibited from using Services in making any loan-related decisions.

Permissible Use. The information and content available on the Website and in the Services (collectively, the “WoodsCamp Properties”) are protected by copyright laws throughout the world. Subject to these Terms of Use, WoodsCamp grants you a limited license to reproduce portions of WoodsCamp Properties for the sole purpose of using the Services for your personal or internal non-commercial purposes in connection with agricultural real estate research and transactions. Under this license, you may copy information from the WoodsCamp Properties only as necessary for your personal use to view, save, print, fax and/or e-mail such information. Unless otherwise specified by WoodsCamp in a separate license, your right to use any WoodsCamp Properties is subject to these Terms of Use.

Restrictions. The rights granted to you in these Terms of Use are subject to the following restrictions: (a) you shall not license, sell, rent, lease, transfer, assign, reproduce, distribute, host or otherwise commercially exploit WoodsCamp Properties or any portion of WoodsCamp Properties, including the Website, (b) use the WoodsCamp Properties or any portion thereof to create, develop, enhance or structure any database, or create models, analytics, derivative products or other derivative works for resale or external distribution; (c) you shall not frame or utilize framing techniques to enclose any trademark, logo, or other WoodsCamp Properties (including images, text, page layout or form) of WoodsCamp; (d) you shall not use any metatags or other “hidden text” using WoodsCamp’s name or trademarks; (e) you shall not modify, translate, adapt, merge, make derivative works of, disassemble, decompile, reverse compile or reverse engineer any part of WoodsCamp Properties except to the extent the foregoing restrictions are expressly prohibited by applicable law; (f) you shall not use any manual or automated software, devices or other processes (including but not limited to spiders, robots, scrapers, crawlers, avatars, data mining tools or the like) to “scrape” or download data from any web pages contained in the Website (except that we grant the operators of public search engines revocable permission to use spiders to copy materials from the Website for the sole purpose of and solely to the extent necessary for creating publicly available searchable indices of the materials, but not caches or archives of such materials); (g) you shall not access WoodsCamp Properties in order to build a similar or competitive website, application or service; (h) except as expressly stated herein, no part of WoodsCamp Properties may be copied, reproduced, distributed, republished, downloaded, displayed, posted or transmitted in any form or by any means; (i) you shall not use the WoodsCamp Properties or any portion thereof in any way that would cause the WoodsCamp Properties to constitute a “consumer report” under the Fair Credit Reporting Act, 15 U.S.C. § 1681 et seq. or similar statute; and (j) you shall not remove or destroy any copyright notices or other proprietary markings contained on or in WoodsCamp Properties. Any future release, update or other addition to WoodsCamp Properties shall be subject to the Terms. Company, its suppliers and service providers reserve all rights not granted in these Terms of Use. Any unauthorized use of the WoodsCamp Properties terminates the licenses granted by WoodsCamp pursuant to the Terms.

State Law Compliance. The WoodsCamp Properties include information obtained from public records. Some states, including, but not limited to, Kansas, Idaho, and Montana, prohibit mailings for marketing/solicitation purposes based on information obtained from public records. You shall not use the WoodsCamp properties in violation of state marketing/solicitation prohibitions.

Third-Party Materials. As a part of the WoodsCamp Properties, you may have access to materials that are hosted by another party. You agree that it is impossible for WoodsCamp to monitor such materials and that you access these materials at your own risk.

Registration and Your Account. In order to access certain features of the WoodsCamp Properties, you may be required to become a Registered User. For purposes of these Terms of Use, a “Registered User” is a user who has registered an account on the Website (“Account”).

In registering for the Services, you agree to (1) provide true, accurate, current and complete information about yourself as prompted by the Services’ registration form (the “Registration Data”); and (2) maintain and promptly update the Registration Data to keep it true, accurate, current and complete. You represent that you are (1) at least thirteen (13) years old; (2) of legal age to form a binding contract; and (3) not a person barred from using the WoodsCamp Properties under the laws of the United States, your place of residence or any other applicable jurisdiction. You are responsible for all actions taken via your account. WoodsCamp will treat your use of the WoodsCamp Services in accordance with its Terms of Service.

You may not share your Account or password with anyone, and you agree to (1) notify WoodsCamp immediately of any unauthorized use of your password or any other breach of security; and (2) exit from your Account at the end of each session. If you provide any information that is untrue, inaccurate, not current or incomplete, or WoodsCamp has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, WoodsCamp has the right to suspend or terminate your Account and refuse any and all current or future use of the WoodsCamp Properties (or any portion thereof). You agree not to create an Account using a false identity or information, or on behalf of someone other than yourself. You agree that you shall not have more than one Account per platform at any given time. WoodsCamp reserves the right to remove or reclaim any usernames at any time and for any reason, including but not limited to, claims by a third party that a username violates the third party’s rights. You agree not to create an Account or use the WoodsCamp Properties if you have been previously removed by WoodsCamp, or if you have been previously banned from any of the WoodsCamp Properties.

Notwithstanding anything to the contrary herein, you acknowledge and agree that you shall have no ownership or other property interest in your WoodsCamp, and you further acknowledge and agree that all rights in and to your Account are and shall forever be owned by and inure to the benefit of WoodsCamp.

The Role of WoodsCamp and the WoodsCamp Properties. WoodsCamp does not act as a real estate agent for you or any other user. WoodsCamp does not sell, buy, or negotiate the purchase, sale, or exchange of real property. Further, WoodsCamp does not lease or rent, offer to lease or rent, or negotiate the lease of real property or otherwise aid or assist in the lease of real property.

The Services do not constitute an appraisal of any subject property, and do not include a physical or visual inspection of any subject property or an analysis of current market conditions by a licensed or certified appraiser. The condition of any subject property and current market conditions may greatly affect the validity of the Services. You shall not use the Services in lieu of a walk-through appraisal or other form of appraisal by a certified appraiser and a certified forest professional.

You shall not construe the Services as a representation by WoodsCamp as to the condition of title to real property. The Services may not include all recorded conveyances, instruments or documents that impart constructive notice with respect to any chain of title described in the Services.

Certain Services are based upon data collected from public record sources. The accuracy of the methodology used to develop the Services, the existence of any subject property and the accuracy of any predicted value provided are estimates based on available data and are not warranted.

Intellectual Property. You agree that WoodsCamp and its suppliers own all rights, title and interest in the WoodsCamp Properties (including but not limited to, computer code, themes, objects, concepts, artwork, sounds, methods of operation, moral rights, and documentation).

Trademarks. [Badge icon], [Horizontal icon], and other related graphics, logos, service marks and trade names used on or in connection with the WoodsCamp Properties or in connection with the Services are the trademarks of WoodsCamp and may not be used without permission in connection with any third-party products or services. Other trademarks, service marks and trade names that may appear on or in the WoodsCamp Properties are the property of their respective owners and may not be used without permission.

Feedback. You agree that submission of any ideas, suggestions, documents, and/or proposals to WoodsCamp through its feedback, Facebook or similar pages (“Feedback”) is at your own risk and that WoodsCamp has no obligations (including without limitation obligations of confidentiality) with respect to such Feedback. You represent and warrant that you have all rights necessary to submit the Feedback. You hereby grant to WoodsCamp a fully paid, royalty-free, perpetual, irrevocable, worldwide, non-exclusive, and fully sublicensable right and license to use, reproduce, perform, display, distribute, adapt, modify, re-format, create derivative works of, and otherwise commercially or non-commercially exploit in any manner, any and all Feedback, and to sublicense the foregoing rights, in connection with the operation and maintenance of the WoodsCamp Properties.

User Conduct. You agree that you will not, under any circumstances:

(1) Interfere or attempt to interfere with the proper functioning of the WoodsCamp Properties or connect to or use the WoodsCamp Properties in any way not expressly permitted by these Terms of Use;

(2) Systematically retrieve data or other content from the WoodsCamp Properties to create or compile, directly or indirectly, in single or multiple downloads, a collection, compilation, database, directory or the like, whether by manual methods, through the use of bots, crawlers, spiders, or otherwise;

(3) Use, display, mirror or frame the WoodsCamp Properties, or any individual element within WoodsCamp Properties, WoodsCamp’s name, any WoodsCamp trademark, logo or other proprietary information, or the layout and design of any page or form contained on a page, without WoodsCamp’s express written consent;

(4) Use any unauthorized software that accesses, intercepts, “mines” or otherwise collects information from or through the WoodsCamp Properties or that is in transit from or to the WoodsCamp Properties, including, but not limited to, any software that reads areas of RAM or streams of network traffic used by the WoodsCamp Properties;

(5) Intercept, examine or otherwise observe any proprietary communications protocol used by a client, a server or the WoodsCamp Properties, whether through the use of a network analyzer, packet sniffer or other device;

(6) Make any automated use of WoodsCamp Properties, or take any action that imposes or may impose (in WoodsCamp’s sole discretion) an unreasonable or disproportionately large load on the infrastructure for the WoodsCamp’s Properties;

(7) Bypass any robot exclusion headers or other measures WoodsCamp takes to restrict access to the WoodsCamp’s Properties, or use any software, technology or device to send content or messages, scrape, spider or crawl the WoodsCamp Properties, or harvest or manipulate data;

(8) Use, facilitate, create, or maintain any unauthorized connection to the WoodsCamp Properties, including, but not limited to: (i) any connection to any unauthorized server that emulates, or attempts to emulate, any part of the WoodsCamp Properties; or (ii) any connection using programs, tools or software not expressly approved by WoodsCamp;

(9) Reverse engineer, decompile, disassemble, decipher or otherwise attempt to derive the source code for any underlying software or other intellectual property used to provide the WoodsCamp Properties, or to obtain any information from the WoodsCamp Properties;

(10) Forge headers or otherwise manipulate identifiers in order to disguise the origin of any content transmitted through the WoodsCamp Properties;

(11) Upload, post, e-mail, transmit or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;

(12) Use the WoodsCamp Properties to collect, harvest, transmit, distribute, post or submit any information concerning any other person or entity;

(13) Forge any TCP/IP packet header or any part of the header information in any e-mail or newsgroup posting, or in any way use the WoodsCamp Properties to send altered, deceptive or false source-identifying information;

(14) Upload or transmit (or attempt to upload or to transmit) any material that acts as a passive or active information collection or transmission mechanism, including, but not limited to, clear GIFs, 1x1 pixels, web bugs, cookies or other similar devices (sometimes referred to as “spyware,” “passive collection mechanisms” or “pcms”); or

(15) Use of WoodsCamp Properties in violation of any law or in any way that is defamatory, trade libelous, unlawfully threatening or unlawfully harassing.

Indemnification. You agree to indemnify and hold WoodsCamp, its parents, subsidiaries, affiliates, officers, employees, agents, partners and licensors (collectively, the “WoodsCamp Parties”) harmless from any losses, costs, liabilities and expenses (including reasonable attorneys’ fees) relating to or arising out of: (1) your use of, or inability to use, the WoodsCamp Properties; (2) your violation of these Terms of Use; (3) your violation of any rights of another party, including any other users of the WoodsCamp Properties; or (e) your violation of any applicable laws, rules or regulations. WoodsCamp reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with WoodsCamp in asserting any available defenses. You agree that the provisions in this section will survive any termination of your Account, the Terms or your access to the WoodsCamp Properties.

DISCLAIMER OF WARRANTIES.

YOU EXPRESSLY UNDERSTAND AND AGREE THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOUR USE OF THE WOODSCAMP PROPERTIES IS AT YOUR SOLE RISK, AND THE WOODSCAMP PROPERTIES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITH ALL FAULTS. THE WOODSCAMP PARTIES EXPRESSLY DISCLAIM ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DISCLAIM ALL LIABILITY AND INDEMNIFICATION OBLIGATIONS FOR ANY HARM OR DAMAGES CAUSED BY ANY THIRD-PARTY HOSTING PROVIDERS.

WOODSCAMP PARTIES MAKE NO WARRANTY, REPRESENTATION OR CONDITION THAT: (1) THE WOODSCAMP PROPERTIES WILL MEET YOUR REQUIREMENTS; (2) YOUR USE OF THE WOODSCAMP PROPERTIES WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE; (3) THE RESULTS THAT MAY BE OBTAINED FROM USE OF THE WOODSCAMP PROPERTIES WILL BE ACCURATE OR RELIABLE; OR (4) ANY ERRORS IN THE WOODSCAMP PROPERTIES WILL BE CORRECTED.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM WOODSCAMP OR THROUGH THE WOODSCAMP PROPERTIES WILL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN.

LIMITATIONS OF LIABILITY.

YOU UNDERSTAND AND AGREE THAT UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY (WHETHER IN CONTRACT, TORT, NEGLIGENCE OR OTHERWISE) WILL ANY WOODSCAMP PARTY BE LIABLE FOR ANY LOSS OF PROFITS, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, PUNITIVE OR OTHER SIMILAR DAMAGES, INCLUDING LOST SALES OR BUSINESS, LOST DATA, BUSINESS INTERRUPTION OR ANY OTHER LOSS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OF USE OR THE USE OF, OR THE INABILITY TO USE THE WOODSCAMP PROPERTIES, REGARDLESS OF WHETHER WOODSCAMP HAS BEEN ADVISED OF THE POSSIBILITY OF OR COULD HAVE FORESEEN SUCH DAMAGES.

UNDER NO CIRCUMSTANCES WILL WOODSCAMP PARTIES BE LIABLE TO YOU FOR MORE THAN THE AMOUNT RECEIVED BY WOODSCAMP AS A RESULT OF YOUR USE OF THE WOODSCAMP PROPERTIES. IF YOU HAVE NOT PAID WOODSCAMP ANY AMOUNTS, WOODSCAMP’S SOLE AND EXCLUSIVE LIABILITY SHALL BE LIMITED TO FIFTY UNITED STATES DOLLARS ($50 USD).

THE LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN WOODSCAMP AND YOU.

Changes; Discontinuance. WoodsCamp may alter, suspend or discontinue the WoodsCamp Services at any time to you and/or to others, without notice.

Term and Termination.

Term. The Terms commence on the date when you accept them (as described in the preamble above) and remain in full force and effect while you use the WoodsCamp Properties, unless terminated earlier in accordance with the Terms.

Prior Use. Notwithstanding the foregoing, if you used the WoodsCamp Properties prior to the date you accepted the Terms, you hereby acknowledge and agree that the Terms commenced on the date you first used the WoodsCamp Properties (whichever is earlier) and will remain in full force and effect while you use the WoodsCamp Properties, unless earlier terminated in accordance with the Terms.

Termination of Services by WoodsCamp. If you have materially breached any provision of these Terms of Use, or if WoodsCamp is required to do so by law (e.g., where the provision of the WoodsCamp Properties is, or becomes, unlawful), WoodsCamp has the right to, immediately and without notice, suspend or terminate any Services provided to you. You agree that all terminations for cause shall be made in WoodsCamp’s sole discretion and that WoodsCamp shall not be liable to you or any third party for any termination of your Account.

Termination of Services by You. If you want to terminate the Services provided by WoodsCamp, you may do so by closing your Account for all of the Services that you use.

Effect of Termination. Termination of any Service includes removal of access to such Service and barring of further use of the Service. Termination of all Services also includes deletion of your password and all related information, files and content associated with or inside your Account (or any part thereof). Upon termination of any Service, your right to use such Service will automatically terminate immediately. WoodsCamp will not have any liability whatsoever to you for any suspension or termination. All provisions of these Terms of Use which by their nature should survive, shall survive termination of Services, including without limitation, ownership provisions, warranty disclaimers, and limitation of liability.

Release. You hereby release WoodsCamp Parties and their successor from all liability related to any and all claims, rights, actions of any kind, and demands, including personal injuries, death, and property damage, that are either directly or indirectly related to or arise from your use of the WoodsCamp Properties. If you are a California resident, you hereby waive California Civil Code Section 1542, which states, "A general release does not extend to claims which the creditor does not know or suspect to exist in his or her favor at the time of executing the release, which if known by him or her must have materially affected his or her settlement with the debtor."

Governing Law. These Terms of Use and all matters arising out of or relating the WoodsCamp Properties shall be governed by the laws of the Province of Nova Scotia, Canada, without regard to its conflict of law provisions. Any legal action or proceeding relating to these Terms of Use shall be brought exclusively in the state or federal courts located in the Province of Nova Scotia, Canada. We and you hereby submit to the jurisdiction of, and agree that venue is proper in, those courts in any such legal action or proceeding. In any dispute arising under these Terms of Use, the prevailing party will be entitled to attorneys' fees and expenses.

Limitations Period. YOU AND WOODSCAMP AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THESE TERMS OF USE OR THE WOODSCAMP PROPERTIES MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.

DISPUTE RESOLUTION. PLEASE READ THIS CAREFULLY. IT AFFECTS YOUR RIGHTS. Except for disputes brought in small claims court, all disputes, claims, demands, or causes of action between you and WoodsCamp, past, present, or future, arising out of, relating to or in connection with the WoodsCamp Properties or these Terms of Use shall be exclusively settled through binding arbitration pursuant to the then-current rules of JAMS for commercial arbitration. There is no judge or jury in arbitration. Arbitration procedures are simpler and more limited than rules applicable in court and review by a court is limited. You are thus GIVING UP YOUR RIGHT TO GO TO COURT to assert or defend your rights. YOU AND WOODSCAMP AGREE THAT ANY SUCH ARBITRATION SHALL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED OR REPRESENTATIVE ACTION. Notwithstanding any provision in these terms to the contrary, if the class-action waiver in the prior sentence is deemed invalid or unenforceable, however, neither you nor we are entitled to arbitration. These Terms of Use are subject to the Federal Arbitration Act. The arbitrator’s award may be entered in any court of competent jurisdiction. Notwithstanding any provision in these terms to the contrary, we agree that if WoodsCamp makes any future change to this dispute resolution provision, it will not apply to any individual claim(s) that you had already provided notice of to WoodsCamp. Notwithstanding the foregoing, claims of infringement or misappropriation of the other party’s patent, copyright, trademark, or trade secret shall not be subject to this arbitration agreement. Such claims shall be exclusively brought in the state or federal courts located in the Province of Nova Scotia, Canada. Additionally, notwithstanding this agreement to arbitrate, either party may seek emergency equitable relief before the state or federal courts located in the Province of Nova Scotia, Canada in order to maintain the status quo pending arbitration, and hereby agree to submit to the exclusive personal jurisdiction of the courts located within the Province of Nova Scotia, Canada for such purpose. A request for interim measures shall not be deemed a waiver of the right to arbitrate. If the arbitration in this section provision is found unenforceable or to not apply for a given dispute, then the proceeding must be brought exclusively in a court of competent jurisdiction in the Province of Nova Scotia, Canada. This section will survive termination of your participation in the Services.

Notice. Where WoodsCamp requires that you provide an e-mail address, you are responsible for providing WoodsCamp with your most current e-mail address. In the event that the last e-mail address you provided to WoodsCamp is not valid, or for any reason is not capable of delivering to you any notices required/permitted by these Terms of Use, WoodsCamp’s dispatch of the e-mail containing such notice will nonetheless constitute effective notice. You may give notice to WoodsCamp at the following address: 1959 Upper Water St #1100, Halifax, NS B3J 3E5. Such notice shall be deemed given when received by WoodsCamp by letter delivered by nationally recognized overnight delivery service or first class postage prepaid mail at the above address.

We will do our best to address your concerns. If you feel that your concerns have been addressed incompletely, we invite you to let us know for further investigation.

General. You agree not to export from anywhere any part of the WoodsCamp Properties provided to you or any direct product thereof except in compliance with, and with all licenses and approvals required under, applicable export laws, rules and regulations. All Services used by the U.S. Government are provided with the commercial license rights described herein. If any part of these Terms of Use is determined to be invalid or unenforceable, then the invalid or unenforceable provision will be replaced with a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of these Terms of Use will continue in effect. The section titles in these Terms of Use are solely used for the convenience of the parties and have no legal or contractual significance. WoodsCamp may assign this Agreement, in whole or in part, at any time with or without notice to you. You may not assign these Terms of Use, or assign, transfer or sublicense your rights, if any, in the Services. WoodsCamp’s failure to act with respect to a breach by you or others does not waive its right to act with respect to subsequent or similar breaches. Except as expressly stated herein, these Terms of Use constitute the entire agreement between you and WoodsCamp with respect to the WoodsCamp Properties and supersede all prior or contemporaneous communications of any kind between you and WoodsCamp with respect to the WoodsCamp Properties.
